Biography

Louisa Watt is a partner in Cadwalader's Financial Restructuring Group and heads the Firm's Loan Portfolio and Debt and Claims Trading practice.

Louisa has more than ten years' experience representing banks, investment funds, brokerage firms and other financial institutions in the acquisition and sale of loan portfolios, syndicated bank loans, debt instruments, derivatives claims, bond claims and deposit-related trades throughout Europe, the United States and Asia. She is recognised as a leading authority on secondary loan trading in distressed situations and has extensive experience in the creation of bespoke documentation for complex cross-border loan transactions.

The team advises clients on all aspects of loan portfolio sales and acquisitions, including financing, tax, regulatory, trading, insolvency and special situations analysis. We advise from the outset of a transaction; from structuring the sales process, drafting and negotiating bid documentation, reviewing performing and non-performing loans, trading analysis and execution, through to debt restructuring and navigation of the various insolvency regimes throughout Europe.

Louisa is currently an active participant in the Loan Market Association. She serves on an LMA trading documentation committee that continually reviews and updates the market standard documentation for par and distressed debt transactions, as well as an LMA confidentiality committee that advises on issues of confidentiality affecting the loan market.

Before joining Cadwalader, Louisa was a partner at Richards, Kibbe & Orbe LLP, where she served as a member of the Executive Committee.

Experience

Recent significant engagements include:

•Project Stone: IBRC insolvent disposal of a EUR 9.3bn real estate loan portfolio (tranches 6 and 7) in Ireland
•Project Rainbow: acting for a fund acquirer of EUR 2.4bn cross-border loan portfolio secured against real estate in the Nordics and Cyprus from Commerzbank
•Project White II: acting for a fund acquirer of a EUR 600m distressed shipping loan portfolio from Lloyds Banking Group in various jurisdictions, including the purchase of hedges and transfer of agency roles
•Project Aqua: advising on a USD550m aircraft loan portfolio from Lloyds Banking Group with borrowers across U.S., Australia and Hong Kong
•Project Castle: EUR 380m loan portfolio of a Spanish Hotels Group from Bankia S.A.
