Jennifer A. Kay



Jennifer Kay counsels driven entrepreneurs and growth-minded executives as they structure, finance, and scale their ventures. Detail-oriented and proactive, she guides corporate clients through all phases of their growth by tailoring legal deliverables to further both immediate and long-term business objectives. Jennifer is passionate about supporting innovative businesses by working closely with the visionaries at their helm on both corporate finance and general business matters.

Leveraging her backgrounds in corporate finance and securities regulation from her work experiences at Goldman Sachs, Berkshire Partners, and the U.S. Securities and Exchange Commission, Jennifer principally works with clients on their securities offerings to private capital markets. In doing so, she advises on the pros and cons of different capital-raising equity and debt instruments, facilitates private placement offerings, including angel, venture capital, and institutional investor-led financings, and assists with federal and state securities law compliance.

Complementing her deal-oriented practice, Jennifer also works on entity formation and conversion, equity incentive plans, commercial contract drafting and review, and ongoing corporate governance matters. Clients appreciate Jennifer’s experience supporting growing businesses across a wide range of industries, including the technology, pharmaceutical, biotech, media and entertainment, clean energy, and consumer goods industries.

Clients also appreciate that Jennifer takes the time to help them anticipate and avert issues that emerging-growth companies often face. Framing her understanding of corporate risk management, she began her career at Shulman Rogers in the Securities Enforcement Group. While with the Securities Enforcement Group, Jennifer defended clients in matters before the U.S. Securities and Exchange Commission (SEC) and the Public Company Accounting Oversight Board (PCAOB). Jennifer also represented both registered representatives and investors in customer and industry disputes before the Financial Industry Regulatory Authority (FINRA).

Jennifer earned her J.D. from Boston College Law School and her bachelor’s degree from Cornell University. During law school, she served as a student-attorney in the Boston College Law Entrepreneurship and Innovation Clinic, through which she counseled three Boston and New York City-based start-ups on corporate matters including entity formation, corporate conversion, employment agreements and classifications, stock issuances and vesting plans, and venture capital financing. Jennifer also served as a law clerk for the Senate Finance Committee in Washington, D.C., a research assistant for professors at Boston College Law and MIT Sloan, and a legal analyst for the UN Commission on Trade and Development’s International Investment Agreements University Mapping Project. Jennifer is fluent in Spanish and proficient in Portuguese and works with a number of U.S.-based clients that also operate international offices.
