Biography
Ms. Hamilton joined the Firm in 2002 and is a partner in the Firm’s Corporate Department. She specializes in representing investment advisers, including advisers to hedge funds and other private investment funds, and traditional advisers to separately-managed accounts. Her services include organizing and structuring investment management firms and U.S. and offshore private investment funds, negotiating and documenting investment advisory agreements with institutional investors, counseling on federal and state regulatory issues, and assisting with regulatory examinations and ongoing compliance matters. Ms. Hamilton also provides advice on general business matters that arise for investment advisers, including employment, consulting, compensation, strategic planning and marketing arrangements. Before joining the Firm, Ms. Hamilton was a vice-president at Banc of America Securities LLC, serving initially in the compliance department and later in trading supervision.

- Given the recent market volatility, we thought we would remind you about NAV decline triggers in your agreements with counterparties. Most swap, securities lending and margin lending agreements (some of which may be in brokerage account agreements) include covenants that require your firm or its client or fund to notify the counterparty if certain events occur. One common covenant requires notice to the counterparty if the net asset value of the client or fund decreases more than a specified percentage during a given period (such as 10-15% during a given month) or below a specified amount. You should review those provisions carefully. You should also comply with other common covenants that require that you deliver information (such as monthly NAV estimates and your funds’ audited financial statements) by the specified deadlines....

- The President has signed the Tax Cuts and Reform Bill, which among other things changes the treatment of the “carried interest” allocable to most hedge fund managers (typically 20%). It provides that long term capital gain treatment within the manager’s carried interest generally will only be available with respect to gains from assets held for at least three years. Depending on the applicable fund’s tax circumstances and so long as any action is consistent with that fund’s investment strategy and the manager’s fiduciary duty obligations, a fund manager may want to consider having its fund sell positions, distribute securities in kind or convert some of the manager’s general partner interest in its fund to a limited partner interest before the end of 2017. Managers should also consider whether to change what type of entity the management company is for tax purposes (i.e. partnerships, C corporations or S corporations), and whether it should be charging the carried interest as a profits allocation or as a straightforward fee....

- On April 10, 2017, the U.S. Department of Labor (“DOL”) final regulation (the “Final Regulation”) that redefines what constitutes “investment advice” that makes the advice provider (including an investment advisory firm) a “fiduciary” to plans, plan participants and IRA owners (“Retirement Plan Investors”) under the Employee Retirement Income Security Act of 1974 (“ERISA”) and the prohibited transaction excise tax rules of Internal Revenue Code section 4975, is scheduled to become applicable. Although the Final Regulation was designed to limit conflicts of interest at retail-level investment advisers and broker-dealers, unless an exception applies, the Final Regulation will confer fiduciary status on advisers, such as separate account managers, who (1) solicit Retirement Plan Investors with a pitch that is coupled with an investment recommendation or (2) make a recommendation to roll over plan holdings to an individual retirement account (“IRA”)....
