Sonia M. Agee practices in the firm’s Business and Transactions Group. She focuses on tax-oriented planning for businesses, corporations, and individuals. Her clients include closely held businesses and corporations, exempt organization, entrepreneurs, investors and start-ups.
As part of the Business and Transactions Group, Sonia works with her clients to build, finance and sell their US and foreign operations, as well as the multitude of legal challenges encountered along the way. She has handled numerous cross-border acquisitions and sales and brought many companies from their inception to successful exits for founders and investors alike. Sonia advises companies in all aspects of corporate law, including entity formation, equity financing, technology licensing, corporate structuring, mergers & acquisitions, joint ventures, stock option and compensation planning, intellectual property protection, and negotiation and drafting of a wide scope of business contracts.
Sonia’s advanced tax background coupled with her corporate experience is particularly beneficial to her clients in the areas of mergers, acquisitions, and re-organizations as well as in the in the areas of tax planning and counseling, tax audits and controversy.
She also has experience handling international estate and income tax planning, including offshore entity formation and transactions. Sonia assists individuals and business owners with their estate planning needs, including wealth transfer planning, business succession planning, closely held business planning, charitable planning, and tax counseling. She also handles income and estate tax planning for foreign nationals
Sonia has been named by Northern California Super Lawyers magazine in the business and corporate field.
She is certified as a taxation specialist by the State Bar of California’s Board of Legal Specialization. She served four years as a commissioner on the State Bar of California’s Taxation Law Advisory Commission including a term as Chair of this taxation commission
Sonia is admitted to practice before the US Tax Court, the Ninth Circuit Court of Appeals as well as the U.S. District Court for the Northern District of California. She is a member of the State Bar of California, New York, Massachusetts, Washington D.C. and Washington. She received her B.A. from Boston University, her J.D. from Temple University in Philadelphia and a LL.M. in Taxation, with honors, from Golden Gate University in San Francisco.
