  • The Securities and Exchange Commission has adopted final rules requiring reporting companies annually to provide a report on internal controls prepared by their management and attested to by their independent auditors and quarterly to disclose any material changes in these controls. The SEC has also modified the existing CEO/CFO certification requirements under Sections 302 and 906 of the Sarbanes-Oxley Act of 2002.
