  • In April 2005, The Coca-Cola Company ("Coca-Cola") settled an enforcement action brought by the Securities and Exchange Commission (the "SEC") arising from Coca-Cola's failure to disclose certain end-of-quarter sales practices in its Japanese subsidiary that were used to manage earnings expectations. Three aspects of the SEC's enforcement action and related settlement with Coca-Cola are particularly noteworthy:
