  • 2003 was an eventful year for corporate governance rule changes. The Securities Exchange Commission (the "SEC"), the New York Stock Exchange (the "NYSE") and NASDAQ each promulgated new disclosure obligations to take effect in 2004. This client advisory summarizes these disclosure requirements that will take effect, with a particular focus upon the disclosure requirements that companies with fiscal years ending on December 31, 2003 must be aware of in advance of the upcoming proxy season.
