On May 20, 2015, the U.S. Securities and Exchange Commission (SEC) held an open meeting to consider new forms and rules designed to enhance the information reported by registered investment companies and investment advisers.
Among the proposals considered by the SEC are amendments to Form ADV that would permit “umbrella registration” of private fund advisers. This registration permits affiliated private fund advisers operating a single investment advisory business to register using a single Form ADV. According to SEC staff, umbrella registration would allow investors to obtain a clearer picture of affiliated investment advisers by requiring relying (i.e., non-filing) advisers to provide information on a newly created Schedule R.
