• Relief for Non-Accelerated Filers: SEC Extends Deadline for Internal Control Reporting

  • The Securities and Exchange Commission (the "SEC"), in an open meeting on December 15, 2006, pushed back the deadline for compliance with Section 404 of the Sarbanes-Oxley Act of 2002 for all companies that are not "accelerated filers" or "large accelerated filers."1 Section 404 requires that management make an assessment regarding the effectiveness of the company' internal control over financial reporting and that the company's auditors issue an attestation report indicating that they have reviewed and concur with management's internal control assessment.
