  • On March 11, the Securities and Exchange Commission adopted rule amendments that will require public companies to disclose on Form 8-K more information in less time. These amendments seek to satisfy the disclosure goals of Section 409 of the Sarbanes-Oxley Act for "rapid and current disclosure" of material changes in the financial condition or operations of public companies. The SEC issued the final text of these amendments in an adopting release on March 16.
