Biography

Maciej Kacymirow focuses his practice on tax issues as well as mergers and acquisitions and corporate law. He advises private equity and corporate clients (including listed companies) on tax issues connected with corporate restructurings and reorganizations (including international restructurings), mergers and acquisitions, joint ventures, financing and capital market transactions (issuance of equity and debt instruments). He also has experience in handling tax disputes and managing ongoing tax matters for major corporations. He has also assisted clients from various industries on non-tax matters related to M&A and on corporate law issues.

Experience: Taxation of corporate restructurings: Advised Atlantik S.A. and Pfleiderer Grajewo S.A. (currently, Pfleiderer Group S.A.) in connection with the cross-border reverse takeover and re-IPO of the Pfleiderer Group on the WSE. The total value of the Transaction, including the private placement and the repayment in kind, amounts to approximately PLN 744 million.; Assisted Polkomtel sp. z o.o. on the reverse merger with Spartan Capital Holdings, which was the last phase of LBO structure implementation. The value of the transaction was EUR 4.5 billion.; Assisted Polski Bank Przedsiebiorczosci S.A and FM Bank S.A. in the merger of both banks within the Abris Capital Group.; Taxation of mergers & acquisitions: Advised Alior Bank in relation to an agreement to acquire Bank BPH's core business from affiliates of GE Capital.; Participated in the work for Empik Media & Fashion S.A. on the sale of shares in Learning Systems Poland S.A. to Bookzz Holdings Limited.; Assisted AnaCap in connection with the acquisition of FM Bank PBP.; Assisted in the work for Zlota 44 sp. z o.o., a joint venture company of Amstar Global Partners Ltd. and BBI Development S.A. in connection with a general contractor agreement regarding resumption of construction work on Zlota 44, a luxurious residential building in Warsaw.; Participated in the work for PKO BP Bank in connection with the acquisition of Nordea Bank Poland, Nordea Life and Nordea Finance. The value of the transaction was approx. PLN 3.5 billion.; Assisted Budimex in relation to the sale of 100% shares in Danwood.; Assisted Spartan Capital Holdings in LBO financing for the acquisition of Polkomtel.; Assisted Cyfrowy Polsat S.A. in connection with obtaining financing for the acquisition of Telewizja Polsat S.A.; Tax issues related to the issuance of equity and debt securities: Participated in the work for Alior Bank in connection with the PLN 2.2 billion public offering of rights offering and issuance of new shares and the admission of the new shares to trading on the WSE.; Participated in the work for Bank Pocztowy in connection with the first issue of the Bank's bonds, part of the public bond issuance program for individual investors with an aggregated value amounting to PLN 1 billion.; Assisted in the work for Grupa LOTOS S.A. in connection with the PLN 1 billion public offering of shares.; Assisted the Joint Global Coordinators: Citigroup Global Markets Limited, DMBH, Societe Generale, UBS and Deutsche Bank AG, London Branch, and the Joint Bookrunners: DM PKO BP, DI BRE, DM BZ WBK and Wood&Co in the PLN 238.6 million IPO of Polski Holding Nieruchomosci (PHN).; Participated in tax due diligence of PZU S.A. for the purpose of its prospectus and IPO on the WSE.; Tax dispute resolution: Assisted in the work for Wrigley Poland sp. z o.o. in connection with its customs issues before the customs authorities.; Mergers & acquisitions: Advised Rentokil Initial in connection with the acquisition of the organized part of an enterprise from Magic Group Polska Sp. z o.o. relating to aroma marketing solutions carried out under the brand AromaCorp.; Assisted Zaklady Azotowe Pulawy S.A. in its consolidation process with Zaklady Azotowe Tarnow-Moscice, and creation of Grupa Azoty. The consolidated group is the second largest player in the fertilizers market in Europe.; Assisted in the work for Investors Holding in connection with the acquisition of 100% of shares in DWS Polska TFI.; Participated in due diligence of Libet S.A. which was acquired by Innova Capital.; Corporate law: Advised leading company in the field of online recruitment in on-going corporate and tax issues, in particular related to buy-back, group restructuring, incentive programme for key employees and bond issue.; Participated in a non-public offer of Impel's shares on WSE.; Assisted in connection with a settlement reached between PZU S.A.'s shareholders, the Polish Treasury and Eureko, concerning the control of the company.; The above representations were handled by Mr. Kacymirow prior to his joining Greenberg Traurig, LLP.
