Brad is an associate in the Corporate Practice Group. Brad represents public and private companies in all aspects of corporate and securities transactions including securities offerings, SEC reporting, corporate governance and compliance matters, mergers and acquisitions, business entity formations and general corporate matters. Brad also devotes a significant amount of his practice representing financial institutions and is experienced in acquisitions and dispositions of community banks, as well as bank regulatory compliance matters and capital raising activities for community banks. Brad also has experience with intellectual property license arrangements, sponsorships and endorsements.

Debt and Equity Offerings
· Representation of AGCO Corporation in connection with the private issuance (144A) of $300 million in senior notes.
· Representation of BlueLinx Holdings in connection with its $60 million backstopped rights offering.
· Placement Agent's counsel for various investment banks in connection with multiple public issuances aggregating $800 million in senior notes by AGL Resources.
· Representation of MidSouth Bancorp in connection with its issuance of $40 million in common stock.
· Representation of Schweitzer-Mauduit International in connection with its issuance of $124.2 million in common stock.
· Representation of Wisconsin Electric Power Company in connection with multiple public issuances aggregating $550 million in senior notes.
Mergers and Acquisitions
· Representation of MidSouth Bank in connection with the acquisition of First Louisiana National Bank.
· Representation of MidSouth Bank in connection with the acquisition of five branches of Jefferson Bank through a 363 sale in connection with the bankruptcy proceedings of Jefferson Bank's holding company.
· Representation of various community banks in connection with the acquisition and disposition of branch offices.

· Representation of a privately held outdoors company in connection with various corporate and intellectual property matters including trademark licensing, distribution agreements, co-pack agreements, television sponsorships and personal endorsements.
