In the increasingly competitive private equity markets, Cadwalader's Private Equity Practice stands out as a leader in advising on legal issues affecting financial sponsors.  Our team of practitioners provides market intelligence and insight to sponsors that focus on domestic and international leveraged buyouts, structured equity investments, mezzanine investments, real estate investments, and growth capital investments. 

Attorneys in Cadwalader's Private Equity Group have acted as lead counsel in some of the largest leveraged buyouts and highest-profile private equity transactions consummated in the marketplace on behalf of some of the world's largest private equity firms and private equity consortiums.  Cadwalader also routinely plays a leading role in representing financial institutions in financing large, complex private equity transactions, and is able to provide private equity clients with deep financing and structuring expertise, with real-time market intelligence.  The depth and breadth of our practice groups will typically provide relevant industry knowledge, as well as tax, employee benefits, antitrust, and securities expertise.

We are also leaders in designing private funds and investments.  In the past few years, we have represented numerous sponsors of, or investors in, large private funds that invest throughout the world.  In addition, we are regularly called upon by our clients to provide advice with respect to structuring matters, fund governance, and accounting and regulatory issues.  We believe that it is a strong testament to our depth that we have had the opportunity to represent 17 of the largest 25 private hedge funds, with assets under management totaling well in excess of $100 billion.

  • A consortium formed by The Carlyle Group and Welsh Carson in connection with their $7 billion acquisition of QwestDex.
  • A consortium formed by The Blackstone Group,
  • The Carlyle Group, Hellman & Friedman LLC, Kohlberg Kravis Roberts & Co. L.P., and Thomas H. Lee Partners, L.P. in their $12 billion acquisition of VNU, Inc.
    The Carlyle Group in its acquisition of Hawaiian Telecom, Inc.
  • Welsh Carson in connection with its acquisition of Caribe Information Investment, Inc.
  • Global Environment Fund as lead co-investor in a $20 million "A Round" equity financing of REVA Electric Car Company, an automotive engineering company in India that conducts advanced electronics research and is developing and manufacturing electric vehicles for the global retail auto market.
  • Harrah's Entertainment, Inc. in connection with its $27 billion sale to Apollo Management and Texas Pacific Group.
  • Dex Media, Inc. in connection with its $9.8 billion sale to R.H. Donnelly Corporation.
  • Ambac Assurance Corporation as insurer in the structuring, documentation, and implementation of a $1.6 billion senior securitization of franchise fees, royalties, and other cashflows relating to U.S. and international Dunkin Donuts' coffee operations, Baskin-Robbins ice cream, and Togo's sandwich operations, as part of the acquisition of Dunkin' Donuts by a consortium of private equity firms.
  • Lehman Brothers in its purchase of an approximately $20 million minority equity interest in D&S Consultants Inc, a private company that provides systems engineering services, conducts advance technology research, and develops hardware and software products for military and commercial markets.
  • The Carlyle Group in connection with its acquisition of the aerostructures business of Northrop Grumman Corporation.
  • A large private fund in its PIPE investment in Kodiak Oil & Gas Corp., an independent exploration and production company focused on exploring, developing, and producing oil and natural gas in the U.S. Rocky Mountain region.
  • A large private fund in its PIPE investment in Trident Exploration Corp., a Canadian natural gas exploration and development company focused on coal bed methane resources in the northwestern quadrant of North America.
  • HM Capital Partners LLC (formerly Hicks, Muse, Tate & Furst) in the sale of its interests in Cablevision S.A., the largest Argentine cable operator, to affiliates of the Argentine media conglomerate Grupo Clarin and New York bond fund Fintech Advisory.
  • HM Capital Partners LLC in the sale of Teledigital S.A., a leading Argentine cable operator, to Cablevision S.A.
    Bear Stearns in The Blackstone Group's $3.1 billion acquisition of Extended Stay America.
  • Bear Stearns in The Blackstone Group's $790 million acquisition of Prime Hospitality.
  • Chairman and CEO of SS&C Technologies in Carlyle Group's $941 million acquisition of the company.
  • AM General (a subsidiary of The Renco Group Inc.) in its $935 million sale to MacAndrews & Forbes Holding Inc.
  • Pfizer Inc. in its $930 million sale of Schick-Wilkinson Sword to Energizer Holdings, Inc.

  • Bear Stearns in Grupo Elektra's $316 million acquisition of Comunicaciones Avanzadas, S.A.
  • PPM Capital Ltd. in its $310 million acquisition of Sterigenics, Inc.
  • Investor Group, including Kayne Anderson Capital Advisors, EnCap Investments (a unit of El Paso Energy), and Strome Investment Management, in the $110 million acquisition of Plains Resources Inc.
