Our legal services include guidance on selection and entity formation (corporations, limited liability companies, partnerships and joint ventures); advise on acquisitions and divestitures (stock, assets and mergers); counseling on the financial aspects of trans­actions including corporate finance of mezzanine, tax-exempt and SBA loans; preparation and negotiation of commercial agreements (distribution, sales, licensing of software and joint development agreements); and tax counseling.
