Davis & Gilbert’s leading practice in marketing communications and advertising law has afforded our Digital Media attorneys special experience that few firms can match. Davis & Gilbert attorneys have been involved since the inception of these technologies and continue to be involved as developments evolve and their applications expand. Our experience grows daily and our knowledge expands as new applications and platforms inevitably arise. Our attorneys advise clients in connection with numerous digital media issues, including interactive advertising, search engine marketing, behavioral and contextual advertising, e-commerce, m-commerce, gaming, digital downloads, entertainment, user-generated content, social networking, viral marketing and content creation, and distribution through various mediums, including wireless carrier networks and satellite radio.

PRIVACY
All of Davis & Gilbert’s work in technology and digital media involves close attention to privacy and data security issues. Privacy and data security issues are no longer unique to companies that engage in business solely online. These issues are key for any organization that collects, processes, stores or discloses consumer information. The collection and use of consumer information online is now one of the most common ways that businesses interact with their customers. It is therefore critical that proper data collection and use practices are observed, because a failure to do so can leave an organization holding valuable data which it is unable to use. Tainted data can quickly thwart potentially profitable business plans. In addition, consumers are ever more cognizant of privacy issues, and therefore, sound and consumer-friendly practices can become a competitive advantage.

We advise clients on laws and issues that include COPPA, GLB, HIPAA, ECPA, security breach notification laws, transborder data transfers, internal security practices and any other risks or threats that involve security concerns. Our proactive approach enables clients to avoid pitfalls or unwanted attention and helps to save their time and money. We help clients establish policies and procedures that address both internal and external privacy and security concerns in areas from marketing to human resources to information technology. For example, we are frequently called upon to advise with respect to the complex relationships between a company and its vendors, which often necessitates vendor access to a company’s proprietary technology and/or data.

Our diverse work keeps us at the forefront of new developments in these areas. Our group includes attorneys who are Certified Information Privacy Professionals (CIPP) and on the Board of Editors of a leading privacy and data security law journal. They also attend and speak at relevant conferences and events, including those sponsored by the International Association of Privacy Professionals (IAPP) and TRUSTe.

INTERACTIVE ENTERTAINMENT
Interactive entertainment, with its blend of technology, entertainment, vibrant story-telling, music, and striking visual art is unique because these businesses require an equal appreciation and protection of both technical and artistic creativity. The interactive entertainment industry needs to be represented by counsel who possess a great depth of experience and who also have diverse backgrounds to fully understand the industry and what drives its success.

At Davis & Gilbert, our attorneys have both the legal, business, and technical qualifications necessary to understand interactive entertainment’s rapid growth in complexity, revenue, and participants. We understand the role that the industry plays in the future of entertainment. Our firm represents some of the most prominent publishers, console manufacturers, middleware companies, and game developers in the world. Our practice includes counseling, corporate law, licensing, litigation, intellectual property, and employment law. We work across a variety of game platform technologies including consoles, handheld, mobile, and PC games.

Davis & Gilbert’s attorneys also have substantial experience in the complex issues surrounding massively multiplayer online games. Our experience includes the treatment of virtual and intellectual property in online worlds, and extends the increasingly complex agreements required by massively multiplayer online games.

REPRESENTATIVE ENGAGEMENTS

ADVERTISING

  • We have negotiated thousands of online advertising deals, from sophisticated co-branding and sponsorship agreements, to insertion orders for virtually any imaginable type of online inventory, including banner impressions, cost-per-click, cost-per-acquisition, lead generation, search engine marketing, contextual advertising, email marketing, SMS text messaging, and the creation and acquisition of "rich-media" inventory. We have negotiated several of these agreements with market leaders including Microsoft, America Online, Google, Yahoo and eBay and other major online publishers.
     
  • We represent dozens of entities in negotiations with third-party ad serving technology companies such as DoubleClick, Atlas DMT, and MediaPlex.
     
  • We represent Seevast Corp., a leading contextual and search-based advertising holding company, in all aspects of its business.
     
  • We represent companies involved in Campaign Management, Search Engine Optimization, Lead Generation, Analytics and Affiliate Marketing.

TECHNOLOGY

  • We represented Verizon Wireless in the development and launch of its groundbreaking V CAST service, which provides for broadband access to news, entertainment and other video content on its 3G wireless network. We led negotiations with content providers including the Walt Disney Company, MTV Networks, YouTube, ESPN, NBC, ABC, Fox and CNN.
     
  • We are representing a leading creative agency in connection with its development and licensing of a proprietary, state-of-the-art software platform for mobile devices that enhances the user experience by enabling the provision of location-based services, image recognition and other functionality.
     
  • We represented Verizon Wireless in negotiating an agreement with Microsoft to establish Microsoft as the multi-protocol data service provider of Verizon Wireless, and to set the framework for the parties to create and co-market enterprise applications and software platforms for wireless devices.
     
  • We represent netomat, Inc., the operator of IP-based communications and online communities. Recently, we represented netomat in connection with the development of a new generation of wireless/mobile online communities.
     
  • We represented Verizon Wireless in negotiating an agreement with Vodaphone for the creation, maintenance and hosting of a hub for the delivery of content to wireless communications devices via Short Message Service (SMS) Messages.
     
  • We represented Verizon Wireless in its negotiation of agreements with OnStar, an affiliate of General Motors, to enable the nationwide wireless capabilities of GM's telematics system known as OnStar.
     
  • We have represented large publicly traded companies with tens of thousands of employees in the acquisition and implementation of sophisticated enterprise-wide technology purchases and implementations from many leading technology vendors, including IBM, Microsoft, SAP and others.
     
  • We represented Sentinel Tech Holding Corp. in negotiating the implementation of a database screening tool on MySpace.com to prevent the use of the service by unauthorized persons.

CONTENT

  • We represented a wireless technology company in connection with various agreements for wireless distribution of content as a content aggregator for major media companies.
     
  • We represent Verizon Wireless in the acquisition, development and production of creative content for its wireless services, including acquiring ring tone rights from all major recording labels and developing and acquiring map, local guide and other information services for Verizon Wireless' wireless web portal.
     
  • We represented Oxygen Media in developing and creating numerous web-based programs, promotions and other content.

INTELLECTUAL PROPERTY

  • We advised Verizon Wireless on the intellectual property implications of ring tone and other music downloads to wireless storage devises under the Digital Millennium Copyright Act.
     
  • We advised XM Satellite Radio, the National Football League and others on the union and performing rights society implications of repurposing music and other content on digital audio services.
     
  • We successfully negotiated numerous settlements with the Business Software Alliance on behalf of corporate software users.
     
  • We won numerous actions brought on behalf of clients pursuant to the Uniform Domain Name Dispute Resolution Policy to secure the return of contested Internet domain names.

PRIVACY

  • We manage and control the process required by state security breach notification laws to notifying consumers in connection with security breaches on behalf of multiple clients.
     
  • We conduct internal privacy and security audits on behalf of multiple clients.
     
  • We advise interactive companies in connection with the collection of personally identifiable information from European end-users and the transfer of such data to the United States.
     
  • We provide onsite privacy training sessions for our client's business and legal personnel on privacy, data protection, data security and interactive marketing practices.
     
  • We provide advice and counsel regarding compliance with standards from numerous self-regulatory organizations, including TRUSTe, Network Advertising Initiative and Payment Card Industry Data Security Standards (PCI-DSS). 

INTERACTIVE ENTERTAINMENT

  • We represent Harris Publishing, a leading magazine publisher, most recently negotiating an agreement with 1633, S.A., a French mobile entertainment company, with respect to the licensing and distribution of branded content via mobile distribution and promoted on a cross platform basis. Our attorneys counseled the client on the business terms, as well as negotiated and drafted the agreement for trademark licensing, branded content production, licensing, advertising and distribution issues.
     
  • We represent and advise Verizon in deals and issues related to bringing new content onto their wireless network, including key ringtone, audio, web, television, and video content deals. Also provide drafting and negotiation of video content license arrangements, new agreements for WAP pages and content, as well as amendments to existing V CAST agreements to modify the content or other terms for a variety of high-profile clients.
     
  • We represent Take-Two Interactive Software in handling the clearance, rights and intellectual property content relating to the development and production of the company's games, including the best-selling and award-winning series Grand Theft Auto, Bioshock, Civilization, Midnight Club and Max Payne.
     
  • We represent Sony Computer Entertainment (Sony Playstation) on various in-game advertising agreements and advice, as well as intellectual property related advice and claims.

OUR GOALS
Davis & Gilbert’s Diversity Committee is itself diverse and includes male and female attorneys of
different races, religions, national origins and sexual orientations. The Committee also comprises full and part-time attorneys of all seniority levels and from various practice groups. Its mandate is to review the firm’s existing diversity practices and recommend specific, realistic strategies and policies for enhancing and strengthening the firm’s diversity efforts. The co-chair of the Committee serves on the firm’s Management Committee, and his active and ongoing participation ensures a commitment by senior-level firm management to continued progress in cultivating a diverse workplace.
 
OUR FOCUS
The Diversity Committee meets regularly to discuss both industry and firm initiatives, to consult with diversity experts, and to implement plans that will promote diversity goals. The Committee’s work focuses on such areas as:
·         Recruiting Talent: Increasing opportunities to hire minority, women, LGBT and other diverse attorneys.
·         Retaining Talent: - Facilitating access to clients, assigning matters, and supporting professional development opportunities, all in a fair manner, to ensure that all attorneys, including diverse attorneys, have an equal opportunity to thrive within the firm.
- Strengthening policies that allow for family-friendly work arrangements.
·         Coordinating Greater Community Outreach: Supporting and actively participating in key bar and legal associations, business organizations and community groups that are focused on specific diverse constituencies or general diversity goals.
 
OUR WOMEN’S INITIATIVE
Davis & Gilbert has an ongoing Women Attorneys’ Speaker Series during which prominent women attorneys speak to the firm’s women lawyers about their unique career paths, professional experiences and a variety of different topics including work-life balance, opportunities for flex-time arrangements, rainmaking and professional development. The program’s first speaker was a senior woman partner who has been with the firm for more than 50 years and who was a member of the firm’s Management Committee and a prior chair of the litigation department. Since then, we have had a number of female attorneys from both the public and private sectors present.
 
Davis & Gilbert retained Lauren Stiller Rikleen of the Bowditch Institute for Women’s Success and author of the book Ending the Gauntlet: Removing Barriers to Women’s Success in the Law to conduct three workshops for women counsel and associates. These workshops were designed to help women lawyers position themselves as a “go to” lawyer, generate business, cultivate mentoring relationships and balance work with family, and thereby achieve greater career success.
 
OUR DIVERSITY EVENTS
Davis & Gilbert has an ongoing commitment to educate our attorneys in the areas of diversity and inclusion. The firm has a “Lunch & Learn” series during which speakers present on a variety of diversity-related issues, laws and initiatives within both the legislature and the community at large.
 
OUR INVOLVEMENT
Davis & Gilbert encourages and supports attorney involvement in professional and community-based diversity organizations. Below are just a few examples of the many ways the firm and our attorneys participate in these organizations.
·         The firm is a member of the Minority Corporate Counsel Association’s Firm Affiliate Network,
pledging a commitment to MCCA’s 10 Basic Principles of diversity and inclusion, and
establishing a partnership with MCCA in order to advance the hiring, retention and promotion of
diverse attorneys. The firm uses the MCCA job board as a resource for diversity hiring, and
uses its resources and materials to facilitate the promotion of best practices in diversity. Our
attorneys have access to the career center, professional development initiatives and mentoring
opportunities available through MCCA.
·         One of our partners is the former Co-Chair of the Board and current Board member of the Empire State Pride Agenda (ESPA), a New York statewide civil rights organization committed to achieving equality and justice for lesbian, gay, bisexual and transgender (LGBT) New Yorkers and their families. Davis & Gilbert is a yearly sponsor of ESPA’s annual Fall Dinner fundraiser event.
·         Davis & Gilbert is a longstanding participant in the New York City Bar Association’s Minority Fellowship Program. The Fellowship Program is a highly competitive summer employment program that partners law firms, corporate law departments and government agencies with high-achieving first-year minority law students from New York City-area law schools.
·         Davis & Gilbert has been a supporter of the New York Women’s Foundation (NYWF) annual “Celebrating Women” breakfast. The NYWF helps low-income women and girls in the five boroughs achieve sustained economic security through expanded opportunities.
·         The firm has a long history of supporting Sakhi for South Asian Women, an organization
            devoted to combating domestic violence within the South Asian community in the
            New York metropolitan area. The firm provides both pro bono legal services
            and financial sponsorship and support to Sakhi and was honored at their
           2012 annual Gala as the first recipient of the newly-created Visionary Supporter award.
·         Davis & Gilbert sponsored a “Read-Aloud” program in conjunction with Learning Leaders, in a public school in Harlem. More than 30 lawyers visited the school to read to second graders and the firm donated numerous books, all for the purpose of exposing minority and other students to the legal profession.
·         For several years, Davis & Gilbert has partnered with the Justice Resource Center through their MENTOR program in the New York City-wide Moot Court/Mock Trial annual competition for high school students. The Justice Resource Center offers programs that educate students on the law, the legal process and the fundamental values upon which the law and legal process are based. Through the MENTOR program, our attorneys act as coaches and mentors to students from Murry Bergtraum High School, a public high school in lower Manhattan, introducing the students to the legal community and law-related professions and preparing the students to compete in the Moot Court Competition and the Mock Trial Competition.
