As a firm with national practices in the areas of energy law and institutional investing, Day Pitney has wide-ranging experience in the areas of energy project development and finance. Our extensive experience in the project finance and development area includes representation of developers, contractors, utilities, equity investors and lenders. We have been involved with projects utilizing a wide variety of energy production technologies, from the more traditional gas- and oil-fired projects to hydroelectric, wood, coal, refuse, geothermal and wind powered facilities. These projects are located throughout the United States, including Alaska and Hawaii, and around the globe, including Europe, Asia and Latin America.
The firm has assisted developers in structuring and organizing corporate, partnership and limited liability company entities to own and operate their projects, in dealing with various federal and state regulatory matters and in obtaining and negotiating the terms of financing. We have assisted both developers and major contractors in the negotiation and drafting of power and renewable energy credit sales, fuel supply, construction, operation and maintenance and other contracts. We also have counseled clients concerning bankruptcies and workouts involving these projects.
Continuing the firm's long history of service as outside counsel to lenders, we have been especially active in our representation of insurance companies, banks and other institutional investors providing both construction and long-term financing for generating projects. We have been involved in the structuring of several transactions involving the financing of as many as 24 projects in a single transaction and have dealt with the complex issues arising from the cross-collateralization of several projects as part of a single security package. We have represented investors in traditional project finance structures, as well as in leveraged and synthetic lease structures.
In addition, we have many years of experience representing both issuers and lenders in a variety of utility finance transactions. These include typical unsecured credit lines and mortgage bonds, as well as more sophisticated transactions, such as nuclear fuel leasing facilities and tax-exempt industrial development bonds. Recently, the firm has represented three different issuers of rate reduction bonds. The firm has been counsel in transactions involving electric, gas and telecommunications utilities and less typical utility entities such as broadband service providers and transoceanic cable companies.
Whether representing lenders, developers, contractors, or utilities, we are able to draw on considerable knowledge and experience in the broad range of legal areas vital to the development and financing of cogeneration, renewable, merchant and other energy projects and energy companies. A number of our lawyers, for example, have concentrated on the complex federal and state energy regulatory issues affecting the area. Others pay particular attention to required environmental permits and the potential legal risks both to developers and to lenders raised by hazardous wastes and other hazardous materials. Lawyers in our Commercial Real Estate and Development Transactions practice group are frequently called upon to assist with complex real estate issues involved in the development and financing of projects, and our tax lawyers consult on the structuring of investments to obtain the optimal tax treatment.
