Duane Morris Corporate attorneys understand the advantages and potential pitfalls for both investors and managers in the private equity market. Our attorneys provide a full range of services for private equity funds, from representing partners and limited partners in fund formation, structuring funds and governance issues to preparing private placement memos. Duane Morris represents venture capital funds, funds-of-funds, private equity funds, later-stage funds, distressed funds, offshore funds and funds focused on a variety of specific industries.

Our attorneys have broad experience in organizing private equity funds and representing fund sponsors with capital-raising efforts both domestically and internationally. Additionally, Duane Morris represents lead investors in the creation of specific private equity funds. In structuring funds, our Corporate attorneys work closely with our Securities, Tax, International, Employment and Compliance attorneys to form funds and management companies that are tax efficient and compliant with the complex maze of securities regulations that govern private equity funds. We strive to optimize tax structures to maximize after tax returns.

After fund formation, Duane Morris provides counsel and guidance on the common challenges funds and their management companies face as they grow and make investments. Our services include advice on partnering and limited liability operating agreements, business terms, estate planning, distribution, vesting and general management and control of the fund management company. With experience representing both funds and the businesses in which funds invest, Duane Morris has a balanced perspective on the unique needs of participants in the private investment industry.
