Syndicated Lending

Our lawyers are experienced in representing agents, participants and borrowers in secured and unsecured syndicated credit facilities, with an emphasis on leveraged syndicated financings.

Acquisition Finance

Our lawyers have substantial experience in representing participants, including lenders, investors and borrowers, in domestic and international leveraged buyout, going private, leveraged recapitalization and other leveraged acquisition and change of control transactions. These credits present diverse structures, and frequently include senior secured debt, mezzanine debt, bridge loans, underwritten Rule 144A debt offerings, private placements and structured finance components. Our lawyers are experienced in handling the intercreditor, collateral agency, collateral trust, debt subordination, securitization, multistate and cross-border and equity participation elements often present in these transactions.

Commercial Finance

Our lawyers are experienced in a broad range of commercial finance products and transactions, including asset-based lending, factoring and other receivables, inventory and equipment financing products.

Loan Restructurings and Workouts

Our finance lawyers work closely with our bankruptcy and creditors' rights lawyers in working out and restructuring troubled credits on a local, regional and national scale. Our experience includes debtor-in-possession financing, debt for equity swaps, sales of troubled companies in and outside of bankruptcy and post confirmation financings.
