Jim advises clients on a full range of insurance transactional matters including company sales, mergers and acquisitions, financing and securitizations, asset sales by bulk reinsurance, business transition and renewal rights transactions, administrative services agreements and Insurance Holding Company Act transactions.

ˇ Represented a Fortune 200 holding company in a multi-billion dollar merger.
ˇ Represented a global insurance group in a billion dollar acquisition.
ˇ Counseled one of America's largest investment and insurance companies in sales, investments and acquisitions, including a $1.1 billion acquisition.
ˇ Advised a Fortune 100 insurance company in the sale of its life insurance business for $1 billion.
ˇ Advised an insurance company in a $15.5 billion acquisition and a second $11.8 billion acquisition.
ˇ Counseled a life assurance company in the reinsurance of more than $3 billion of life and annuity reserve liabilities.
ˇ Represented an international property and casualty insurance holding company in acquisition for cash consideration of $135 million plus certain contingent valuation rights.
ˇ Counseled a reinsurance company in connection with a $350 million letter of credit facility to provide funding support for triple X and A-triple X reserves.
ˇ Advised an insurance group in various Regulation XXX securitizations, capital markets transactions and reinsurance transactions, including a $2.1 billion securitization and a $55 million securitization.
ˇ Advised in a $24.2 billion reinsurance and a $1.86 billion capitalization to facilitate an initial public offering.
