Jennifer R. Minter focuses her practice on a range of corporate finance matters, with an emphasis on securities transactions for private and public companies, mergers and acquisitions, federal and state securities law compliance and corporate governance matters. Jennifer concentrates her practice in the areas of securities-related transactions, M&A transactions, involving both private and public companies, and funding and ongoing representation of emerging growth technology companies. She was a member of the team that represented Dick's Sporting Goods, a leading sporting goods retailer, during the company's initial public offering worth more than $100 million. Jennifer also assists various public companies with federal and state securities law compliance, including '34 Act filings and Section 16 matters; companies in conducting private placements (including 144A private placements of debt securities) and public debt offerings; and clients in documenting and reviewing bank, public debt covenant and Sarbanes-Oxley compliance issues. Some of Jennifer's recent transactions have included representing: · Dick's Sporting Goods in its securities-related transactions and acquisitions, including its $225 million acquisition of Golf Galaxy (Nasdaq: GGXY) and its $40 million acquisition of Chick's Sporting Goods in 2007; its $370 million tender offer acquisition of Galyan's Trading Company (Nasdaq: GLYN) in 2004; and its $172.5 million issue price 144A Senior Convertible Notes Offering in 2004. · An electric utility in its $145 million offering of first mortgage bonds. · International solar cell and printed electronics company Plextronics, Inc., in its $20.6 million Series B financing in 2007 and its 2006 Series A financing. · Tandem Health Care, Inc., a provider of long-term health care services, in its $620 million sale to private equity firms JER Partners and Formation Capital, LLC. · Cellumen, which delivers products and services that support drug discovery and development, in its $8.7 million Series B financing that included investments from Safeguard Scientifics, Inc. and PA Early Stage Partners. · G&R Acquisition in its acquisition of the Max & Erma's restaurant chain (Nasdaq: MAXE) in 2008. Jennifer is a member of the firm's Recruiting Committee, served for two years as an associate coordinator in the firm's nationally recognized summer associate recruiting program, and is active in the firm's Women's Business Development Committee.
