Tax Law

Jennings Strouss has experience in virtually all aspects of federal, state and local taxation law. Our tax attorneys are heavily involved in corporate and personal tax planning to minimize the tax liability imposed on our clients. They also work closely with other members of the firm to address tax issues arising out of business transactions, the formation of business entities (corporations, limited liability companies, partnerships, trusts, etc.), mergers and acquisitions, restructurings, public and private securities offerings, real estate, bankruptcy, labor, and litigation.

The firm has an extensive practice in state and local tax planning and litigation. The practice includes addressing the state tax needs of clients engaged in interstate commerce, and tax litigation involving sales and use taxes, property taxes, and state income taxes.

Our tax attorneys include practitioners with substantial experience in all aspects of employee benefits. We regularly address issues arising under ERISA, the Internal Revenue Code, COBRA, FMLA, and other laws affecting employee benefits. We have experience in a wide range of benefits and compensation matters, including the drafting of and giving advice with respect to qualified retirement plans, health and welfare plans, fiduciary counseling, ERISA litigation and government proceedings, and corporate transactions (i.e., legal and administrative issues in connection with corporate mergers, acquisitions and dispositions.)

The firm regularly deals with tax issues relating to exempt organizations and represents numerous trade associations, social clubs, employee associations, homeowner associations, and charitable organizations such as international relief organizations, hospitals, homes for the elderly and private foundations. Our tax attorneys have particular experience in charitable giving tax issues, especially planned and deferred giving.

Our tax attorneys in the estate planning and probate areas represent clients in all aspects of estate planning and administration. In addition to the preparation of wills and trusts and planning for the effective transfer of business and other assets, they regularly act as counsel to trustees and administrators of large estates. The firm's estate planners are involved in a number of professional organizations, including the American College of Trust and Estate Counsel.

STATEMENT OF COMMITMENT TO DIVERSITY

Jennings Strouss continues to promote diversity by recruiting and retaining highly qualified individuals who represent diversity of opinion, personal experience and demographics. We retain excellent lawyers through regularly evaluating our recruiting focus, techniques, and strategies. We then make changes as necessary. Our recruiting committee expanded the on-campus interview program in 2007 to target students with diverse backgrounds and interests from law schools with significant minority enrollments and at minority student job fairs. The committee also is working on an outreach campaign to minority student organizations at various law schools around the country. Other demonstrations of our commitment to diversity are our continuing sponsorship of a law student in the annual Arizona State University Minority Writing Internship Program, a program that was started by our firm many years ago, and our sponsorship of the 2006 NBA Diversity Pipeline Program.
