Mr. Fallon is a partner in the Corporate Department.

Mr. Fallon's practice centers on corporate acquisitions and divestitures, private equity and debt transactions, project finance, equipment and aircraft acquisition, sale and leasing transactions, oil and gas transactions, and bank credit facilities. He negotiates investment transactions for national and international corporations, REITs, investment firms, leasing companies and private equity funds.

Representative Matters

· Represents one of Europe's largest independent oil and gas production companies on their acquisition and financing transactions;

· Counsels a large healthcare property REIT on their financing transactions and property acquisitions;

· Represents several national healthcare companies on their acquisitions, financing and management transactions;

· Counsels the largest university-based nanotechnology research and development center in the United States on its joint venture and strategic alliance transactions and corporate matters;

· Represents the United States subsidiary of one of Europe's largest car and truck manufacturers on international equipment and aircraft acquisition, sale and leasing transactions;

· Represents the research foundation of a major state university system on their joint development transactions, university and public partnership programs and financing transactions; and

· Represents various private investors and private equity firms on their investments in, and the long-term management and growth of, emerging companies and turnaround arrangements.
