John Wilner's practice has included the representation of a diverse group of communications companies, including cable television system owners, a variety of middle-market radio and television stations, a mid-sized cellular telephone provider, microwave transmission companies, satellite users and radio common carriers. On their behalf, John has participated in a broad variety of matters including FCC regulatory compliance and rulemakings, initial and renewal licensing, purchase and sale transactions, public and private financings, litigation and counseling.
Notable Experience
Participation in FCC regulatory approvals process for a number of major cable television and other communications company sale and merger transactions, including:
· 1979 acquisition by Time Inc. of major cable television company American Television and Communications Corporation
· 1990 merger of Time Inc. and Warner Communications, forming Time Warner Cable
· $337.5 million 1997 acquisition by Dobson Communications of cellular systems from Sygnet Communications
· $165 billion 2001 merger of Time Warner Inc. and AOL
· $17.6 billion 2006 acquisition of cable television systems from Adelphia by Time Warner Cable and Comcast
· 2009 spin-off of Time Warner Cable by Time Warner Inc
