Josh's experience includes drafting and negotiating commercial agreements including supply, distribution, sales representative and maintenance agreements. He has drafted organizational documents for companies, including articles of incorporation and organization, bylaws, operating agreements and partnership agreements.
Josh has represented public and private companies in a variety of merger and acquisition transactions and has assisted companies with various matters under securities laws, including private placements, the filing of registration statements, periodic reporting filings, proxy statement filings and insider security ownership filings. He also has assisted clients with structuring and drafting rules for sweepstakes, contests and other promotions.
