Practice/Industry Group Overview

Kaye Scholer's mergers and acquisitions practice is at the core of the firm's corporate practice. We represent buyers and sellers in the negotiation of mergers, stock and asset acquisitions, leveraged buyouts, tender offers and other transactions involving changes in corporate control and special committees of boards of directors in going private transactions.

We also have substantial experience assisting clients in acquiring and disposing of distressed businesses that are the subject of insolvency proceedings.

Our clients are major international and domestic firms, both public and private. Our practice is broad-based and we counsel financial sponsors and corporate concerns in transactions involving many industries -- media, defense, technology, health care, consumer products, manufacturing and services among others. As part of this practice we provide advice to directors concerning the standards and requirements for director action and their exercise of business judgment, disclosure obligations, regulatory compliance and communications with shareholders.

Most significant acquisition transactions require expertise in many areas, such as tax, securities, antitrust, real estate, bankruptcy, employee benefits and environmental regulation and our mergers and acquisitions practice utilizes the talents of lawyers throughout the firm to meet the needs of our clients on a real-time basis.
