Client Service Philosophy
Kilpatrick Stockton's first rule of client service is to maintain a solid understanding of each client's business and industry. This enables us to serve as true business counselors and not mere scriveners. We strive to be proactive with respect to clients' objectives and needs, and to ensure that our services are consistent with clients' business goals and tailored to the practicalities of the context in which the services are rendered. While our corporate attorneys will not sacrifice quality of service to be the "lowest cost provider," we will endeavor to render our services in a cost-efficient manner.

Kilpatrick Stockton's corporate attorneys provide clients with a broad range of general corporate, corporate finance, securities and mergers, acquisitions and transactional services. Among the types of services we provide are the following:
Mergers and Acquisitions; Joint Ventures; Change of Control Transactions
Kilpatrick Stockton has over 100 attorneys whose practice primarily involves representing business clients or business principals in connection with significant transactions that involve:
- the acquisition or sale of assets or ownership interests of a business entity,
- the merger of one business entity with another,
- a change of control within a business entity, and
- a joint venture or strategic relationship between two more business entities.
Securities Law Compliance
Kilpatrick Stockton's securities attorneys advise our publicly held clients on compliance with the complex requirements imposed by the Securities and Exchange Commission, stock exchanges and the NASDAQ stock market¿from the technical aspects of filing periodic reports with the SEC and other regulatory authorities and disseminating proxy materials to shareholders to the substantive and often sensitive aspects of satisfying public disclosure obligations¿without unduly disrupting the planning and implementation of strategic business initiatives.
Venture Capital and Investment Funding
Kilpatrick Stockton helps clients identify and implement appropriate financing through all stages of their growth cycle from angel funding to later stage funding. The firm maintains significant relationships with numerous capital sources ranging from qualified angels to over 300 venture capital firms, investment funds and investment banks nationally. We often counsel clients regarding how to anticipate, assemble and present the type of information that investors and lenders require in order to evaluate a client's funding needs and prospects. The firm also assists clients in obtaining financing through private placements of debt and equity securities.
Public Offerings and Later Stage Financing
Our attorneys have represented issuers and underwriters in initial public offerings, follow-on public offerings of both debt and equity, shelf registrations and other major financing transactions such as asset securitizations. In recent years Kilpatrick Stockton has represented a number of issuers in connection with their initial public offerings.
International Capital Markets Transactions
Kilpatrick Stockton's securities attorneys have represented both foreign and domestic issuers and financial institutions in cross-border financing transactions, including project financings, Eximbank, EDC and other public sector credits, trade finance programs and swap transactions. In addition, we have handled a number of global debt and equity securities offerings, including "Reg S" and "Rule 144A" offerings, and offerings on the London and Luxembourg Stock Exchanges.
Investment Company Practice
Kilpatrick Stockton has the largest investment company and investment adviser practice in the Southeast. The firm's clients range from those with $5 million to more than $150 billion in assets under management. The firm has developed a strong reputation for satisfying the needs of small investment advisers and fund complexes.
General Corporate Services; Significant Commercial Transactions
Kilpatrick Stockton often serves as general or principal outside counsel for our business clients. We advise companies, management, boards of directors and special committees of boards on general business and legal issues that arise in connection with the operation of their companies, whether those issues arise in the ordinary course of business or in connection with exceptional situations or transactions. We assist with meetings of shareholders and directors. Clients encountering hard times find comfort in the hands of our seasoned corporate attorneys who have most likely advised other clients successfully in similar situations.
Business Structuring and Formation
Our corporate attorneys work closely with business founders to select the appropriate form of legal entity for their business, whether that is a corporation, a partnership, limited liability entity or some other form of entity. We create the documents that will govern the operation of the new business and the relationship among the various constituents of the business such as the equity owners, management, employees, directors, and creditors.
Vertical Industry Teams
In order to further our commitment to understand our clients' industries and be proactive business counselors, we have established, within the corporate practice itself, four teams of attorneys who are focusing on a particular vertical industry segment. We expect to form additional vertical industry teams within the corporate practice in the near future.
