Securities and Shareholder Litigation
Our litigation experience includes fraud-on-the-market class actions; representation of officers and directors in shareholder class actions; derivative suits; tender offers, proxy contests and other corporate control disputes; and federal, state and self-regulatory organization enforcement actions. We have particular experience in defending companies, officers and directors in federal and state securities claims and related common law claims. We also advise companies, officers and directors concerning corporate indemnification provisions and procedures.
In addition to our Securities Litigation Practice Group, our business lawyers handle a full range of securities transactions and counseling. This facilitates a professional dialogue between our litigation and business attorneys who are familiar with the broad spectrum of transactions, fiduciary duties, regulatory and disclosure obligations that are often involved in securities litigation. Our securities litigation practice is a natural complement to our corporate and securities practice.
