Matt Burnstein has been a partner at Waller Lansden since 2003 and has served on the firm's Board of Directors since 2006. Mr. Burnstein's practice is dedicated to business transactions, focusing on acquisitions, venture capital investments and private equity transactions for businesses ranging from public companies to start-ups. Specifically, Mr. Burnstein has worked extensively in the area of the acquisition, divestiture, syndication and finance of healthcare businesses, including: ambulatory surgery centers, imaging centers and stereotactic radiosurgery facilities; acute care medical and surgical hospitals; behavioral healthcare hospitals and residential treatment facilities; and physician joint ventures. Mr. Burnstein was recognized in the 2011 edition of Chambers USA: America's Leading Lawyers for Business and the 2010 and 2011 editions of The Best Lawyers in America® for his corporate law experience.
Mr. Burnstein's recent experience in healthcare transactions include managing the firm's work on:
· The $54 million acquisition of interests in six ambulatory surgery centers in Southern California by a publicly-traded ambulatory surgery center (ASC) company
· A $250 million whole-company acquisition for the nation's largest provider of behavioral healthcare services
· The acquisition of physician practices and independent physicians associations by an acute care hospital company
· More than 50 acquisitions, developments and syndications of LLCs and limited partnerships in joint ventures with physicians and/or hospitals for a national ASC company
· A $70 million disposition of a non-core healthcare service business
In addition to healthcare transactions, Mr. Burnstein maintains an active practice in the area of electronic payments and financial technology, where he has represented a leading provider of government-centered electronic payments in all general corporate matters, corporate finance and acquisitions and two of the nation's largest merchant acquirers.
Mr. Burnstein also represents a number of early-stage companies and sophisticated investors making investments of seed and growth capital. He assisted two of the initial TNInvestco recipients in their formation matters and has represented them in several early investments. Since 2000, he has represented a national research university in its technology transfer and enterprise development functions. Mr. Burnstein's more diverse recent engagements include: representing a private investor in the acquisition of a minor league baseball team, assisting the founder and operator of self-serve frozen yogurt stores and serving as investment counsel to a California county public employees retirement system.
