Mr. Roth is a partner in the Denver office of Kutak Rock LLP and practices primarily in the areas of corporate, corporate finance and commercial law. He represents clients on general business issues, corporate transactions with respect to formations, acquisitions, joint ventures, debt and equity financings, re-organizations, mergers and divestitures as well as secured transactions, commercial loans, health care matters and natural resources transactions. Mr. Roth represents private and public companies and nonprofit entities in a variety of industries, including manufacturing, construction, technology, real estate, health care and natural resources. With almost 40 years of legal experience, Mr. Roth has been principal counsel to hundreds of corporations and nonprofits during each stage of their business, protecting their assets and leading them to successful and profitable resolutions in their transactions.
•Represents dozens of start-up and emerging businesses in their formation and advises them with respect to raising capital and debt financing.
•Counsel to national and regional corporations and nonprofit organizations in the acquisition and disposition of stock and assets in multimillion-dollar transactions.
•Represented the purchaser in a multimillion-dollar acquisition of a multiple-state business which provides residential care services to disabled persons and operates work release facilities.
•Represented the seller in a multimillion-dollar sale of a manufacturing and processing facility.
•Counsel to the purchaser in the financing and acquisition of a hospital and related health care facilities.
•Represented the seller in a multimillion-dollar sale of a computer software company.
•Counsel to the seller in a multimillion-dollar sale of a multistate auto auction business.
•Represented the seller in a multimillion-dollar sale of an international manufacturer and supplier of semi-conductor products.
•Negotiated and documented the merger of a regional hospital system with a critical access hospital.
