Scott Magee is an associate in the Litigation Department at Edwards Wildman Palmer LLP. Scott represents clients in State and Federal Court in a wide variety of litigation, both in trial courts and on appeal. His practice focuses on commercial litigation, construction litigation, securities litigation, and SEC and other government investigations. His recent practice includes trade secret litigation, indemnification disputes arising out of mergers and acquisitions, and representation of owners, developers and subcontractors in a wide range of construction disputes in litigation and through alternative dispute resolution. He is also active in various pro bono projects at the Firm.
Scott is a member of the Firm's Securities Litigation, Government Enforcement and Corporate Governance practice group. Outside of the Firm, Scott serves as coach to Boston College Law School's Jessup International Law Moot Court Team.
Scott was named a Rising Star by New England Super Lawyers Magazine in the category of business litigation for 2010, 2011, and 2012.
•Scott has routinely represented Boards of Directors and acquirers in the context of M&A transactions in response to lawsuits brought by shareholders of acquisition targets alleging that the terms of a proposed merger and acquisition are unfair, improperly disclosed, or otherwise inadequate.
•Scott represented developers of large, luxury condominium projects in Boston in response to claims of defective design and construction brought by unit owners.
•Scott has regularly represented an automobile dealer finance company in disputes with dealers and guarantors who have defaulted on their financing agreements in Massachusetts and elsewhere in New England.
•Scott won summary judgment on behalf of an automobile finance company against claims asserted in the United States District Court for the Northern District of Ohio by an Ohio automobile dealership for breach of contract, fraud, and violation of the Equal Credit Opportunity Act in connection with floor plan financing provided to the dealership.
•Successfully represented affiliates of Takeda Pharmaceutical Company in litigation arising out of Takeda's $8.8 billion acquisition of Millennium Pharmaceuticals, convincing the court to deny plaintiff's request for injunctive relief enjoining a tender offer and merger.
•Retained as appellate counsel for a publicly-traded commercial finance company after an adverse ruling in a bench trial in a case alleging that the company engaged in unfair and deceptive business practices. Obtained complete reversal of the lower court's judgment.
•Obtained dismissal of claims against a major telecommunications company in Massachusetts Federal Court alleging breach of state tariffs and unfair and deceptive business practices.
•Conducted internal investigation into revenue recognition practices of a publicly-traded company.
•Conducted internal investigation into potential insider-trading allegations of a publicly-traded company.
•Represented a pharmaceutical company against allegations that it engaged in misappropriation of trade secrets.
•Represents a manufacturer of building supplies in product liability actions and construction-related disputes.
Before Edwards Wildman
Scott graduated from Boston College Law School. While at BC Law, Scott was an oralist on the Jessup International Law Moot Court Team and he served as a judge for the Grimes Moot Court Competition.
Prior to law school, Scott received his Master's Degree in organic chemistry from Boston University and his Bachelor's Degree in chemistry at the University of Wisconsin-Madison.
