Biography

After practicing law for three years as a corporate finance attorney in “Big Law” firms Milbank and Willkie Farr, I made a life changing decision to start my own law firm.

As you can imagine, this decision was not an easy one. In the three years after graduating from Georgetown Law, I relished the challenge of servicing first tier global financial institutions alongside the best talent in the industry. But it was time for me to hang my own shingle, taking that valuable experience and shifting my focus from large corporations to small businesses.

As a boutique business transactional law firm, I deliver my Big Law experience and skills to entrepreneurs, investors, freelancers, small businesses, artists, and entertainers. In addition, I continue to advise on complex, multi-million dollar cross-border transactions.

I empower clients to create their rights by providing them with easy-to-understand options. Once I understand a client’s objectives, I advise on the best ways to achieve those objectives using contract law. If a client has been asked to sign a contract, I will review the contract, provide feedback to the client and, if necessary, negotiate changes to the contract. If a client has an arrangement in mind, and it makes sense to document that arrangement using a written contract, I will draft the contract on behalf of the client and, if necessary, negotiate changes to the contract. I empower clients to form legal entities and create their rights within those entities. Once I understand a client’s objectives, I advise on the best ways to achieve those objectives using the corporate and LLC laws of New York and Delaware. I offer a more sophisticated, but still affordable, alternative to LegalZoom and other do-it-yourself business formation services. I provide personal access to a responsive lawyer who will guide you through each step of the business formation process. I routinely save clients hundreds or thousands of dollars in state filing fees by advising on the intricate differences between the LLC laws of the different states. Moreover, I protect clients against even greater risks by ensuring that their personal liability shield (corporate veil) remains strong and intact. I empower clients to buy and sell companies in an efficient manner by running a smooth diligence and documentation process. I prepare extensive summaries to help clients understand their options for dealing with key M&A issues including purchase price adjustments, indemnities, representations, disclosure schedules, and more. In addition, I act as local counsel to foreign companies and assist lead counsels with cross border M&A involving United States companies or United States law. I help foreign lawyers and clients understand United States law, including Delaware and New York, playing a key supporting role in cross border M&A.
