Alessandro Pallavicini

Alessandro focuses his practice on assisting investment and commercial banks, direct lenders, alternative capital providers, investment funds, corporations, and financial sponsors across all types of debt financings, with a particular focus on leveraged buy-outs, corporate and real estate financing, bank/bond financings, high yield issuance of notes (also listed on multilateral trading facilities), as well as PIK debt financings across the syndicated and private credit markets.

He has also worked on special situations lending, debt restructurings and workouts for domestic and international transactions.

Representative Matters

• Advised a leading US investment fund in the subscription of PIK notes issued by an Italian company, owner of an historical prestigious hotel in Venice, for an overall amount of euro 330 million. °

• Advised a pool of Italian banks on an acquisition lending of an Italian company leader in the production of nautical equipment, designs, produces and engineers, for an overall amount of euro 37 million. °

• Advised a leading UK investment fund, holder of a major Italian company, active in the glass solutions for the building industry, for a euro 106 million notes issuance subscribed by a major private credit fund. °

• Advised a pool of Italian banks on a real estate lending in connection with the development of the Milan Innovation District, a mixed-use redevelopment featuring office, residential, retail, research, university and public space, for an overall amount of euro 220 million. °

• Advised an Italian private equity firm and its management team in the capital call bridge financing (fund financing) and the GP commitment financing of an aggregate amount of EUR 330 million arranged by a leading Italian bank. °
