Biography

Alisa F. Hoover is Senior Counsel with Pannone Lopes Devereaux & O’Gara LLC and a member of the Corporate & Business Law Team. She has more than two decades of experience advising operating companies, private equity investors and financial institutions on day-to-day matters and transactions that transform and protect businesses. In addition, she has profound expertise with mergers & acquisitions (M&A), private equity, health care law, complex commercial transactions, corporate governance, privacy and financing.

Attorney Hoover launched her distinguished career at law firms in New York, NY, where she was responsible for drafting and negotiating all documentation for private equity and M&A transactions. She also served as outside general counsel to private equity portfolio companies on day-to-day and transformational matters. Her high caliber of work led her to be consistently promoted, and then recruited for executive roles, including General Counsel, for multinational, publicly traded, S&P 500 organizations operating in health care, technology, finance, manufacturing, consumer products and industrial gases.

During her tenure at these industry-leading companies, she not only served as lead counsel on dozens of domestic and cross-border acquisitions aggregately worth over a billion dollars, but she advised business leaders and stakeholders on business strategy and operations, compliance, corporate governance, sales and marketing, R&D, risk management, health care laws, real estate, product liability and employment matters.

Prior to joining PLDO, Attorney Hoover launched her own successful private practice in 2016, where she counseled clients ranging from startups to those seeking venture capital/private equity to middle market and Fortune 500 companies. She is highly regarded for her ability to advise companies on strategic planning and goal-setting, as well as provide education and training on regulatory matters, compliance, antitrust, risk mitigation and confidentiality.

Attorney Hoover earned her B.S. from Cornell University and J.D. from the University of Pennsylvania Law School, cum laude, where she was Class Officer and Editor of the Journal of International Economic Law. She also holds a Certificate in Healthcare Law from University of Pennsylvania, is Six Sigma Greenbelt Certified and has completed coursework towards a master’s degree in Environmental Sustainability from Harvard University. Attorney Hoover is admitted to practice law in Connecticut and New York.
