Biography

Angela is a Member in Stoll Keenon Ogden’s Louisville office and has been with the firm since 2004. She is Chair of the Construction Law practice and is an experienced trial attorney who contributes to several practice groups at the firm. She works with businesses of all types throughout Kentucky, from manufacturing companies to banking institutions.

Focused mainly on complex commercial litigation, Angela has successfully taken on large cases involving matters ranging from environmental audits to lender liability claims. She counsels clients at every stage of a dispute, from discovery and settlement negotiations through the appellate process.

For her many legal accomplishments, Angela has been listed in Kentucky Super Lawyers®, among other distinctions. She is a graduate of the Louisville Bar Association’s Leadership Academy.

Construction Law: Angela has a substantial background in representing homeowners, business owners, governmental entities, developers, contractors, subcontractors and insurance companies in areas spanning from mechanics’ and materialmens’ liens to permitting issues. She also advises clients on general needs, such as contract drafting and negotiation.

Business Litigation: Angela effectively handles every aspect of corporate and commercial lawsuits, from document management to coordination with experts. Her focused and strategic approach helps guide clients toward a satisfactory outcome.

Banking Litigation: Working with both lenders and borrowers, Angela provides vigorous representation in disputes concerning commercial foreclosures and various other credit transactions.

Business Torts: Angela defends and prosecutes a wide range of legal actions, from claims of securities fraud to allegations of breach of fiduciary duty. She routinely consults with clients on best practices to minimize risk and stay in compliance with state and federal regulations.

Environmental Litigation: In this challenging area of law where policies are continually evolving, Angela offers her knowledge to help clients navigate everything from permitting processes to court and arbitration proceedings.

Mineral & Environmental Law: For clients in the oil, gas and coal industries, Angela assists with litigation and regulatory disputes, and also advises on compliance.

Securities Litigation: Angela has significant expertise in resolving disputes between securities offerors and offerees, as well as disagreements between investment firms and their customers.

Work Highlights

Complex Litigation of Superfund Cleanup Site

Louisville Industrial Park, LLC v. ExxonMobil Oil Corporation, et al., Case No. 3:14-CV-278-CRS (W.D. Ky., 2017). See also, FCBKy Holding, LLC v. Louisville Industrial Park, LLC, et al., Case No. 13-CI-402829 (Jefferson Circuit Court, 2013).

Originally presented with a foreclosure case by our bank client, the matter became further complicated when the location in question was declared a Superfund Site by the U.S. EPA. SKO negotiated a resolution that involved an acquisition under Kentucky’s brownfields regulations, protecting the bank against liability for historic contamination. The firm’s attorneys also successfully acquired the property for a subsidiary while dealing with substantial tax liens and negotiated a plan for cleanup, which proved satisfactory to state and federal regulators. Subsequently, SKO also successfully resolved lender liability claims that threatened to delay the transfer of the property and the commencement of cleanup activities. The case was settled favorably in March 2018.

Breach of Contract Prosecution

Successfully prosecuted a breach of contract claim under the indemnity provisions of a purchase and sale agreement.

Securities Fraud

SKO’s client was one of several defendants sued by a group of disappointed investors alleging securities law violations. SKO mounted an aggressive defense, and while the plaintiffs settled with other defendants, they agreed to simply dismiss their claims against SKO’s client.

Drafting Form Construction Contracts & Documents

SKO has assisted a governmental client with revising its construction contract forms and documents to update them to current standards and circumstances.

Successfully defended claims for nuisance, tortious interference and negligence arising from the construction of a stormwater/wastewater retention basin by the local wastewater utility.
