Biography

Cory Halliburton serves as general counsel and business adviser to a nationwide nonprofit / tax-exempt client base, as well as for multi-state professional service companies. He is a results-oriented attorney, with executive-level strategy and an understanding of the intersection of law and business judgment. With a practical upbringing, he pushes for process-driven results in internal governance, strategy and compliance with employment law, and complex or unique contracts and business relationships.

He dedicated the first ten years of his practice to mainly commercial litigation matters in West Texas and the Dallas-Fort Worth Metroplex. During that experience, Mr. Halliburton transitioned his practice to a more general counsel role, with an emphasis on nonprofit and tax-exempt organizations, advising those organizations through formation, dissolution, litigation, governance, leadership succession, employment law, contracts, intellectual property, tax exemption issues, policy creation, mergers and other. He has served as borrower’s counsel for tax-exempt bond and loan transactions near $100 million aggregate; some with complex pre-issue construction, debt payoff and other debt financing challenges.

Mr. Halliburton also serves as outside legal and business advisor for executive professionals in multi-state engineering firms, with a focus on drafting and counsel on significant service agreements, employment law matters, and protection of trade secrets.

Mr. Halliburton provides efficient and client-specific legal counsel for many organizations, large and small, in corporate formation and tax-exempt application processes, including federal, state and property, and he provides counsel for member and non-member organizations in the winding up, dissolution and termination processes.

Loan Transactions
Mr. Halliburton has served as borrower's counsel for multi-million dollar tax-exempt bond issue with complications of pre-issue construction activity and debt payoff, and has served nonprofit entities in other multi-million dollar construction loan transactions.

Real Property Matters
Mr. Halliburton represented a tax-exempt membership organization in a multi-million dollar real property buy-sell agreement with complicated ownership, governance, and title issues, and represented tax-exempt property owner in obtaining retroactive property tax exemption for property with complicated ownership and use histories.

Mergers/Combinations
Mr. Halliburton provided legal counsel for a membership corporation in merger with a separate membership corporation, and he served as counsel for merger of regional chapters of a national public charity into one solidified chapter organization. He also counsels clients through various options for combinations of entities.

Outside Advisor and Counselor
He serves as outside general counsel to international trade associations; with service including on-going review of governance matters, employment matters, numerous and complex vendor agreements and third-party arrangements, and many other areas of counsel.

Litigation
Mr. Halliburton represents WKPZ clients in various litigation matters and administrative proceedings, including disputes involving breach of contract, defamation, discrimination in employment and other employment-related claims, fraud, governance issues, real property, Title III of the Americans with Disabilities Act, and others.
