Biography

Curtis Stefanak is a fund formation and investment management attorney focusing his practice on the formation of private equity and real estate funds and on the federal regulation of investment advisers. He advises both U.S. and foreign private and public investment fund sponsors and investors on a wide range of issues relating to fund formation, governance, and investment, as well as related investment management regulations. He has deep experience handling extraterritorial applications of the Investment Advisers Act of 1940 and the Investment Company Act of 1940.

Curtis represents a wide variety of sponsors and investors in the formation, marketing, and disposition of collective investment vehicles, including numerous transnational master-feeder and other complex fund structures. He advises on the formation of private equity, real estate, and venture capital funds, including hybrid funds investing in securitized debt, biotechnology, and agribusiness. Curtis has considerable experience in the formation and advising of real estate funds (including public and private REITs), as well as the characterization of investment funds under the Volcker Rule and the the operating exemptions for real estate investment vehicles.
