Daniel J. Cohen has over 30 years of experience in both state
and federal courts as well as bankruptcy courts and arbitration forums. His practice spans a broad range of areas,
including general commercial litigation, chancery litigation, labor and
employment, lender liability, insurance coverage, probate disputes, class
action litigation, pharmaceutical litigation, product liability, legal ethics, and
appellate advocacy.
Dan serves as general corporate and litigation counsel to a
number of small, mid-sized and publicly-traded companies that offer an array of
products and services, and include institutional and hard money lenders, chemical
manufacturers and distributors, medical device manufacturers, advertising,
sales and marketing companies, information technology companies, franchises, real
estate developers, real estate holding companies, restaurants, staffing
agencies, and skincare product manufacturers. Dan serves as an adviser to
these clients on a wide variety of legal matters, including litigation and
alternative dispute resolution, business disputes, restrictive covenants, contract
disputes, corporate and business formation needs, employment and human resource
issues, foreclosure proceedings, bankruptcy proceedings (on behalf of
creditors), and the preparation, review and negotiation of all types of
commercial contracts, including confidentiality and non-disclosure agreements,
licensing agreements, employment agreements, forbearance agreements, master
service agreements, joint venture agreements, buy/sell agreements, distribution
agreements, and vendor contracts. Dan
also has extensive experience litigating probate matters such as will contests,
guardianships, and other contested trust and estate issues.
Dan has also served as national and local counsel in New Jersey
and New York on behalf of a variety of clients, including pharmaceutical,
nutraceutical, and medical device manufacturers and distributors, in the
defense of complex liability, class action and mass tort litigation. Dan
also represents a variety of businesses that provide related pharmaceutical
services, including sales, market research, medical education programs,
web-based patient education programs, and brand positioning.
Dan served as judicial
clerk to the Honorable Wilfred P. Diana, Superior Court of New Jersey, Chancery
Division, General Equity Part, Somerset, Hunterdon and Warren Counties, for the
1991-1992 term. From 1992-1995, he served as a Somerset County Assistant
Prosecutor.
