David R. Evans

David Evans is a member of the firm with thirty-five years of corporate and transactional law experience. David has had extensive involvement in all facets of corporate financing and work-outs, including debt and equity transactions, private placements, management and leveraged buy-outs, investor take-outs, club and syndicated credits, participations, senior and subordinated debt, asset based lending, term and revolving debt, lines of credit, bridge loans, letters of credit, note purchase agreements, intercreditor agreements, acquisition lending, equipment financing, real estate and joint development financings, credit support, and sophisticated workout and restructuring transactions.

His financing practice has included representation of banks, commercial finance companies, factors, insurance companies, mezzanine lenders and venture capital firms on a local, regional and national basis.

David also has extensive corporate expertise in mergers and acquisitions, private placements and general corporate work. His corporate experience has involved representations of companies in the banking, biotech, broadcasting, chemical, consumer products, food, furniture, industrial gas, insurance, pharmaceutical, real estate and telecommunications industries.

David was the principal draftsman of the Tennessee Business Combination Act, the Tennessee Control Share Acquisition Act and the Tennessee Anti-Greenmail Act. He has served as Chairman of the Corporate Legislative Committee for both the Tennessee Bar Association and the American Corporate Counsel Association. David has also been a past lecturer for the Tennessee Bar Association on corporate takeovers and captive insurance.
