Biography

Dominik S. Kwiatkowski specializes in corporate law, focusing in particular on mergers and acquisitions as well as capital markets regulation. He has worked on projects for financial institutions, public companies and private equity funds, including equity offerings such as initial public offerings (IPOs), tender offers and private placements. He provides general corporate advice and assists clients with disclosure obligations and corporate reorganizations.

• Participated in the work for CCC S.A. in connection with the offering of newly issued shares in an accelerated book-building (ABB) process valued at more than PLN 1.5 billion.

• Participated in the work for Diagnostyka S.A., a leading provider of diagnostic services, on the initial public offering (IPO) of the Company’s shares and the admission of some shares to trading on the regulated market operated by the Warsaw Stock Exchange. The value of the shares sold in the IPO amounted to nearly PLN 1.7 billion.

• Participated in the work for Zabka Group and CVC Capital Partners acting as the principal selling shareholder on the IPO of shares in Zabka Group and their admission to trading on the regulated market operated by the Warsaw Stock Exchange.

Mergers and Acquisitions

• Participated in the work for Banco Santander S.A. in connection with the sale of a 49% stake in Santander Bank Polska S.A. for EUR 6.8 billion and 50% of Santander’s Polish asset management business (Santander TFI) for EUR 200 million to Erste Group Bank AG. The total transaction value is EUR 7 billion.

• Participated in the work for VeloBank S.A., its holding company and its shareholders, including funds affiliated with Cerberus Capital Management, L.P. (Cerberus), on the Polish law aspects of Velobank’s agreement with Citibank Europe PLC and Bank Handlowy w Warszawie S.A. (BHW) to acquire BHW’s consumer business in Poland.

• Participated in the work for Kronospan in connection with the acquisition of 100% of the shares in B+T Horn Energie, operating a biomass power plant in Germany.

• Participated in the work for Polski Światłowód Otwarty in connection with the acquisition of Micoinfra, a company that owns and operates FTTH infrastructure and provides wholesale internet access services to retail operators.

• Participated in the work for Polski Światłowód Otwarty in connection with the acquisition of FTTH infrastructure from Fibreo.

• Participated in the work for CVC Capital Partners in connection with its launch of a tender offer for all shares in Comarch S.A.

• Participated in the work for Partners Group, on its acquisition of Velvet CARE, one of the leading manufacturers of hygiene paper products in Europe.°

• Participated in the work for Cookie Information, a consent management platform backed by Danish investment company Kirk Kapital, on its merger with Piwik PRO, a Poland-based developer of a privacy and data security-oriented web analytics platform.°
