Faysal El Ayouby

Faysal El Ayouby advises clients on Islamic and conventional finance transactions, corporate matters, and regulatory issues across the UAE and wider Middle East. His practice covers project finance, aviation finance, trade finance, Islamic finance, and cross-border lending, as well as mergers and acquisitions, corporate restructuring, and due diligence work. He represents development banks, lenders, borrowers, and corporate entities navigating complex multiparty transactions.

Faysal regularly drafts and negotiates security documentation, share pledges, corporate authorizations, and facility agreements. His experience includes sustainability-linked loans, project financings, bridge facilities, refinancing transactions, and multi-jurisdictional security arrangements.

On the corporate side, Faysal supports M&A transactions, including drafting share purchase agreements, subscription and sale agreements, and escrow agreements. He advises on trust restructurings, and UAE Commercial Companies Law compliance. He has experience conducting due diligence across sectors including aviation and initial public offerings, reviewing commercial contracts, lease agreements, and corporate governance documents.EXPERIENCE

• Advised an international development bank on a sustainability-linked loan, including coordinating conditions precedent and drafting legal opinions.°

• Advised on the financing of a major power plant in Jordan, coordinating with local counsel and managing transaction deliverables through to financial close.°

• Conducted legal due diligence on aircraft lease agreements, preparing finance diligence reports for inclusion in the overall report.°

• Advised on a cross-border financing involving multiple UAE obligors providing guarantees and security support, including preparing legal opinions across three UAE jurisdictions.°

• Advised the arranger on an commodity Murabaha financing involving a multi-entity education group.

• Advised on a range of conventional and Islamic financing transactions, including drafting finance and security documentation and managing closings.°

• Advised on an aviation financing transaction, involving multiple tranches and aircraft security packages, including English mortgages and UAE security registrations.

• Advised on the annual refinancing of a trade finance facility, including the restructuring of the security package and transition from a bond security arrangements to an SPV-held security structure.°

• Advised on multiple FI syndicated loan transactions involving CIS borrowers.
