Biography

Francisco De Rosenzweig focuses his practice on infrastructure, public and private project finance, as well as banking, financial and corporate law. He has advised several companies, investment funds, financial institutions and state governments in the structuring and financing of projects in the infrastructure, energy, and telecommunications sectors.

Additionally, Francisco has advised clients in M&A transactions and has experience with the preparation and implementation of regulatory compliance strategies in regulated sectors. Prior to joining Greenberg Traurig, Francisco worked at a leading European law firm in the Mexico City and Madrid offices.

Experience

Mergers and Acquisitions

• Representation of Mexico Infrastructure Partners (MIP), the leading manager of investment funds in the infrastructure and energy sectors in Latin America, in the financed acquisition of a portfolio comprising 12 combined cycle power plants and a wind farm with a capacity of 8,539 megawatts, owned by Iberdrola, a leading Spanish energy group, for USD$6.2 billion. This transaction was crucial for the development of Mexico’s current federal energy policy, and it stands as the largest and most complex transaction in the history of the country’s energy sector since its privatization.

• Representation of MXT Infrastructure Holdings in a three interrelated components transaction, which included: (i) the sale of a 50% co-controlling interest in MXT Infrastructure Holdings, a Mexico-based telecommunications infrastructure company, to ARDIAN, a leading global private equity firm. This transaction was ARDIAN’s first investment in Mexico; (ii) MXT’s simultaneous acquisition of Centennial Towers, which increased its presence in the telecommunications tower sector; and (iii) the acquisition financing MXT arranged with a syndicate of banks to finance part of Centennial Towers.

• Advised Fibra Orion to subscribe and acquire the entire capital stock of Infraestructura Concesionada de Irapuato, concessionaire of the Libramiento de Irapuato highway in the state of Guanajuato, Mexico, for a value of MXP$500 million.°

Banking & Finance

• Representation of BBVA in the refinancing of the debt of the One&Only Mandarina Hotel, located in Riviera Nayarit (Mexico), through the granting of a USD$75 million loan.°

Energy

• Representation of Grupo Cotemar in obtaining regulatory authorization from the National Hydrocarbons Commission (CNH) for the change of corporate control of its subsidiary Servicios de Extracción Petrolera Lifting de México, as a consequence of a corporate restructuring of the group.°
