Frank Clements is a founding shareholder of Babst Calland. Mr. Clements is experienced in a variety of corporate, finance and commercial transactions. He has a strong background in energy and environmental law. His practice is focused on business transaction work, particularly the acquisition and disposition of businesses and the formation of joint ventures, predominately in the industrial sector. In addition to his M&A practice, Mr. Clements has structured and negotiated major commercial contracts including tolling agreements, technology transfer agreements, technical assistance agreements, equipment installation agreements, mineral rights leases and sales agreements, real estate sales and exchange agreements, financing agreements, patent and know-how license agreements, construction agreements, commercial real estate leases and raw material supply agreements. The industries in which he has concentrated his practice include chemical, steel, coal, power, and environmental.

Business Background

For many years, Mr. Clements has been a board of directors member of both profit and non-profit entities in a variety of industries, including energy, chemical, railroad, healthcare, environmental and technology. He is a past member of the board of a major local hospital, having served as its vice chairman and chairman for a ten-year period. His past board memberships also include serving on the boards of DelRay Connecting Railroad, Strategic Energy, Ltd., Peak Sulfur, Inc., (a chemical company with operations in Louisiana, Texas, Oklahoma and Wyoming), Peak Lime Company (a lime company with operations in Alabama), National Environmental Technology Application Corporation, Center for Hazardous Materials Research, Holy Family Institute, Pittsburgh Opera and Pittsburgh Catholic Publishing Associates.

Educational Background

He attended the University of Pittsburgh where he received his B.A. in 1969 and his J.D. in 1972. He served as the Editor-in-Chief of the University of Pittsburgh Law Review.

Memberships and Affiliations

Mr. Clements was admitted to the Pennsylvania Bar in 1972. He is a member of the Allegheny County, Pennsylvania, American and International Bar Associations, and the Society of Hospital Attorneys of Western Pennsylvania. Mr. Clements has been recognized in The Best Lawyers in America® for Corporate Law since 2010. He was also selected to the 2010-2012 Pennsylvania Super Lawyers lists (Thomson Reuters).
