Joseph J. Curran advises private equity sponsors, portfolio companies, public and private corporations, search funds, founders, and emerging growth/venture-backed businesses on the U.S. federal income tax aspects of mergers and acquisitions, tax-free reorganizations, joint ventures, and debt and equity financings. He regularly structures platform and add-on acquisitions, carve-outs, minority investments, and recapitalizations, and represents public companies, issuers, underwriters, and lenders in capital markets and financing transactions.He has deep experience with partnerships and S-corporations, designing tax-efficient structures for buyouts, rollovers, and joint ventures. Joseph also advises founders and investors on SAFE and convertible note financings as well as qualified small business stock (QSBS) planning.
