Biography

Josh focuses his practice on the formation and operation of private investment funds and their management companies, with a particular focus on private equity and real estate. He primarily represents fund sponsors, advising them on structuring, management company arrangements, fundraising, securities law issues, and various investment vehicles, including joint ventures, co-investments, and separately managed accounts. In addition to his sponsor-side practice, Josh represents clients in connection with their investments in private investment funds. He also has experience negotiating complex corporate and commercial real estate transactions on behalf of private investment funds and their portfolio companies.

• Represented fund sponsor in connection with the formation of a $1 billion real estate fund targeting investments in life sciences facilities.°

• Represented fund sponsor in connection with the formation and marketing of a $900 million fund targeting investments in infrastructure and logistics facilities.°

• Represented fund sponsor in connection with the formation of a co-investment structure to finance, and a joint venture to develop, a $750 million life sciences facilities portfolio.°

• Represented fund entering into a joint venture arrangement to invest in 26 self-storage facilities.°

• Represented fund sponsor in connection with the formation of a $150 million venture capital fund targeting food sector investments.°

• Represented 85 real estate investment partnerships in connection with the roll-up and recapitalization of a $2 billion multifamily apartment portfolio.°

• Represented large retailer in connection with a $360 million sale and leaseback of 14 logistics facilities.°
