Transactions:
Acted as lead counsel or lead outside counsel in the following transactions and litigation:
(a) Acquisitions and Sales: Multi-state portfolio sales of 125 cell towers for a Fortune 500 Company. Sales of major apartment complexes for a national developer. Portfolio sales of 163 separate commercial real estate projects, with take-back financings, for failed financial institutions. Negotiation of sales and development agreements, with the Washington Metropolitan Area Transit Authority, for the construction and operation of large projects around 2 metro rail stations. Acquisitions of 40 separate office buildings for a Fortune 500 company. Contract for the purchase and development of land for a resort in a foreign country. Acquisition of 2 golf courses, for town center and other development. Took over, from other counsel, negotiations to purchase a commercial office/industrial building, where the opposing counsel called the negotiations on "life support", and successfully concluded the client's purchase of that building.(b) Construction Contracts: For the development of an inter-city rail line, in a foreign country, with various large commercial projects at each station.
(c) Leases: A participating ground lease, for a Fortune 500 company, of a 300,000+ square foot office building. Numerous ground and space leases, each of 80,000 square feet, for a national home improvement chain. Negotiations, with the U.S. Government, for the termination of over 443,000 square feet of leases.
(d) Financings: A refinancing which I restructured to save the client over $600,000 in State and local recordation and transfer taxes.
(e) Bankruptcies: Took over a debtor's cases, from other counsel, and got the debtor's bankruptcy reinstated and the suit, against the debtor, on a promissory note, dismissed, despite previous counsel's having lost on all liability issues. A contested purchase, out of bankruptcy, of a large internet service provider, including 20 stations across the country.
(f) Foreclosures: For major national and international banks, of large commercial properties, in D.C., Maryland and Virginia, including for a $100,000,000 non-performing loan, a major retail site in the heart of D.C., and major undeveloped subdivisions in D.C. and Virginia.
(g) Foreclosure defenses: Saved, through bankruptcy filings, various commercial properties from foreclosures, including getting all liens released and selling one, on the eve of foreclosure, for $10,700,000.
(h) Entity formations and disputes: Negotiated several LLC operating agreements, non-disclosure agreements, and confidentiality agreements. Negotiated the dissolution of a partnership owning a headquarters site for a Fortune 500 company and golf course.
(i) Legislation: Successful arguments for the adoptions of (i) legislation changing County transfer and recordation ordinances to make feasible the conversion and development of a subdivision; and (ii) issuance of municipal bonds for the construction of a college campus building and for a warehouse development.
