Biography

Lindsey Rhoten is a member of the firm’s General Commercial practice group where she advises clients on complex environmental, corporate, and renewable energy matters, with a focus on practical, business-driven solutions. She works with companies, developers, lenders, and investors across a range of industries, guiding environmental compliance, structuring and financing renewable energy projects, and facilitating mergers and acquisitions. Lindsey regularly helps clients navigate regulatory frameworks, assess and manage risk, and complete transactions that advance both operational and strategic goals.

Lindsey received her Juris Doctor from the University of Richmond School of Law and her Master of Environmental Law and Policy from Vermont Law School. Lindsey was named to Best Lawyers in America “Ones to Watch” list for Environmental Law and Land & Zoning Law in 2026.

A quick handshake

Most people are lucky to keep one plant alive, but over 30? You must have a green thumb.

I didn’t say I was able to keep them all alive! I’ve definitely had my fair share of ones that didn’t make it. I find peace in nature and enjoy having plants around me to recreate that vibe. Some of my plants were collected during my travels or were passed down generations. I try my best to keep those ones alive.

You have a fascination with eclectic home decor. Give us an example.

I find odd decor amusing. Think a small table with bird legs as table legs or a towel rack where the end knobs are actually two hands holding it up. Recently, I bought an antique glass dish shaped like a chicken sitting on a nest that I’m going to put in my office for candy. I enjoy things that are clever and make me laugh when I look at them.

I see you're a hiker. Tell me about some of the places you've hiked.

I've hiked some really beautiful places like Mt. Hunger in Vermont, Rifle Peak in Nevada, and parts of the Appalachian Trail in Virginia. Put me on the path less traveled with no cell service, and I'll be happy.

Experience

•Lindsey’s experience spans environmental law, corporate transactions, and renewable energy project development and financing. She partners with clients to address regulatory challenges, structure transactions, and manage risk across the full lifecycle of a project or business.

Environmental

•Advises on environmental and energy matters involving air, water, hazardous and solid waste, coal ash, toxic and hazardous substances, storage tanks, wetlands, nutrient credit trading, mineral mining, and natural gas
•Guides clients through permitting processes and ongoing compliance obligations
•Counsels on Virginia’s Voluntary Remediation Program and remediation strategies
•Represents clients in environmental enforcement actions and investigations, including matters involving state and federal agencies
•Drafts and negotiates landfill host agreements, timber agreements, nutrient credit purchase and sale agreements
•Advises on Food and Drug Administration pharmaceutical development agreements and regulatory compliance
•Conducts risk management and liability assessments under federal and state environmental laws, including CERCLA and RCRA
•Evaluates eligibility for liability protections such as Bona Fide Prospective Purchaser, Innocent Landowner, and Contiguous Property Owner
•Reviews Phase I and Phase II Environmental Site Assessments and other consultant reports
•Facilitates brownfield redevelopment projects, including environmental due diligence and coordination with federal tax incentives for renewable initiatives
•Prepares environmental covenants and conservation easements

Mergers and Acquisitions, Corporate, and Finance

•Represents buyers, sellers, and lenders in asset and stock purchase transactions
•Drafts and negotiates purchase agreements and related transaction documents
•Prepares corporate governance documents, including operating agreements
•Advises small businesses on formation, structure, and day-to-day legal needs

Renewable Energy Project Financing and Acquisitions

•Conducts due diligence for renewable energy project acquisitions
•Represents lenders and borrowers in project financing transactions
•Prepares legal opinions in connection with project financing
•Drafts transaction documents, including equity capital contribution and debt financing agreements
•Advises on tax structures, renewable energy credits, and available incentives at the local, state, and federal levels
•Drafts and negotiates power purchase agreements

Commercial Transactions

•Drafts and negotiates purchase and sale agreements, service agreements, and leases
•Represents clients in industries including data centers, warehousing, and manufacturing

Real Estate

•Prepares purchase and sale agreements, leases, easements, and license agreements
•Conducts real estate due diligence in connection with transactions and development projects
