Louis A. Russo is the founding member of Russo Law LLC, a New York and New Jersey business law firm focused on commercial contracts, business acquisitions, and the resolution of complex business disputes. He brings nearly 20 twenty years of legal experience to every engagement, including formative training at three preeminent AmLaw 100 firms: Proskauer Rose, Winston & Strawn, and Alston & Bird, where he advised public and private companies on sophisticated transactions and high-stakes commercial matters.
Lou's transactional practice covers the full range of agreements that drive commercial relationships — non-disclosure agreements, operating and partnership agreements, master services and distribution agreements, third-party logistics and fulfillment contracts, software licenses, commercial leases, convertible notes, and equity compensation arrangements including incentive stock options. He regularly represents clients buying a business or selling a business, coordinating asset purchase agreements, stock and membership interest transfers, and due diligence across industries in New York and New Jersey.
On the dispute resolution side, Lou handles breach of contract, commercial fraud, tortious interference, business divorce, and corporate governance disputes in both state and federal court as well as in arbitration and mediation. He approaches every dispute with an eye toward resolution before litigation becomes necessary, and when it does, he litigates with the preparation and precision his BigLaw training instilled.
Lou also serves as outside general counsel to a range of early-stage and established businesses, providing ongoing legal counsel, contract management, and compliance oversight on a cost-effective retainer basis. In that capacity he functions as an extension of his clients' management teams, available when issues arise and proactive in identifying risk before it becomes a problem.
In addition to his practice, Lou serves as a neutral arbitrator for the American Arbitration Association and FINRA, and previously served as an adjunct professor of commercial arbitration. He leverages cloud-based practice management technology and AI-assisted contract review to deliver efficient, high-quality counsel at rates accessible to businesses of all sizes.
