Matthew Squires

Matt Squires represents domestic and international emerging growth companies and venture capital firms in venture financings, mergers and acquisitions, and public and private capital markets transactions. He has served hundreds of company-side clients, from early to late stage, and dozens of investor-side clients, across industries including AI, SAAS, fintech, proptech, robotics, cloud infrastructure and other technology and software-focused businesses, clean energy, telecom, financial services, medical devices, health care, pharmaceuticals, biotech, real estate, aviation, agriculture, utilities, oil and gas, retail goods, food services, and logistics. His practice also includes general corporate representation, securities regulatory counseling, and representation of not-for-profit organizations.

Matt has deep experience in Latin America and has handled cross-border transactions throughout Latin America valuing over $30 billion, as well as transactions involving China, Singapore, Indonesia, Japan, Australia, the UK, France, Germany, Switzerland, Luxembourg, the Netherlands, Spain, Russia, Nigeria, Bermuda, the Cayman Islands, the British Virgin Islands, and Egypt. He is fluent in Portuguese and conversational in Spanish.

He also has broad experience representing issuers and underwriters in SEC-registered IPOs and follow-on offerings of both directly listed shares and ADSs in primary and secondary offerings. He advises on registered and Rule 144A/Regulation S debt offerings, including high-yield and investment-grade bond issuances and euro-, Brazilian real-, and Mexican peso-denominated offerings. Additionally, he counsels companies, lenders and investors in spin-offs, credit agreements, and exchange offers and tender offers.

• Represented companies and investors in seed-stage SAFE, equity and convertible debt financings, early and late-stage venture capital financings, and strategic investments, including representations of Latin America -based startups or venture investors in hundreds of transactions.°

• Represented targets and buyers in acquisitions and sales of companies, divisions, and subsidiaries through numerous structures such as mergers, stock purchases, and asset purchases in both U.S. domestic and cross-border transactions, including the $1B sale of Pismo, a global cloud-native issuer processing and core banking platform.°

• Represented issuers and underwriters in SEC-registered IPOs and follow-on offerings of both directly listed shares and ADSs in primary and secondary offerings.°

• Represented issuers and underwriters in registered and Rule 144A/Regulation S debt offerings, including high-yield and investment-grade bond issuances, perpetual and hybrid bond issuances, Tier II capital and subordinated bond issuances, secured bonds, and MTN program based issuances, including euro-, Brazilian real-, and Mexican peso-denominated notes offerings.°

• Represented a NYSE-listed company in a spin-off of a major subsidiary to also become NYSE-listed.°

• Represented lenders in a series of unprecedented credit agreements with Brazilian states guaranteed by the federal government of Brazil and securitized loans with Latin American banks.

• Represented issuers and dealer managers in exchange offers and cash tender offers.°
