Biography

Michael S. Paradise, since December 2009, has been a Partner of McLaughlin & Stern, LLP practicing in the areas of corporate, securities and litigation, with an emphasis in financial markets matters, general corporate matters, transactional matters and securities matters.


During the previous 10 years, prior to becoming a Partner at the Firm, Michael was Counsel to the New York law firm of Hartman & Craven LLP and Counsel to Rosenman & Colin LLP (now Katten Muchin Rosenman LLP).


Michael’s experience and skills cover a broad range of areas, including:


Advising hedge funds on aspects of their formation and continued operations, including preparation of their offering documents, agreements among owners of hedge fund firms, reviewing and preparing employment agreements and acting as general counsel to hedge fund groups regarding a myriad of other matters affecting their businesses.


Advising registered investment advisers, broker-dealers, commodity pool operators and commodity trading advisers in connection with their regulatory issues, including interfacing with the Securities and Exchange Commission, the Commodities Futures Trading Commission and various self regulatory organizations with respect to registration and compliance issues.


Providing general corporate legal advice to companies and individuals in a wide range of other businesses including public relations, staffing, manufacturing, distribution and professional services.


Advising sellers and buyers of businesses on merger and acquisition matters and preparing asset and stock purchase agreements, employment agreements, shareholder and limited liability company agreements and ancillary agreements.


Providing litigation and arbitration advice in the corporate, securities and commercial law areas, including advice involving disputes between and among shareholders, partners and limited liability company members.


Providing general business advice and facilitating strategic introductions to clients of potential partners.


Reviewing and preparing commercial leases and subleases.


In addition to his legal practice, for 11 years from 1992 to 2003, Michael was a founding principal of and the General Counsel to The Centurion Group, a diversified hedge fund, broker-dealer, commodity trading adviser, commodity pool operator, fund of funds and venture capital firm.


Michael has appeared on a number of panels and has made presentations at seminars on hedge funds and venture capital and has acted as a Moot Court Judge at Yale University.
