Biography

John Zarbock is a member of the Corporate Practice in Greenberg Traurig's Salt Lake City office. John focuses his practice on mergers and acquisitions, divestitures, private equity and debt financings, recapitalizations and other strategic transactions. His broad experience, both in-house and as outside counsel, gives him a unique understanding of clients’ needs to allow him to deliver the highest level of service.

Experience: Representative Transactions: Represented a private equity sponsor in the restructuring and acquisition of a distributor of egg, dairy and bakery ingredients based in Massachusetts.; Represented a private equity sponsor in the acquisition of a controlling interest in an ambulatory surgery center located in California.; Represented a waste management, transportation and remediation business in its acquisition of a waste transportation business located in Arizona.; Represented investors and early stage companies in venture capital financings, including convertible note financings and preferred and series seed financing rounds.; Represented a waste management, transportation and remediation business in its acquisition of a waste transportation and emergency response business located in Pennsylvania.; Represented a global supply chain company in the sale its inland marine transportation business to a public corporation.; Represented an oil and gas exploration and production company on its recapitalization consisting of $300 million second lien secured notes, a $683 million third lien term loan and amendments to existing syndicated credit facilities.; Represented a private equity sponsor in its 50/50 partnership, definitive purchase agreement and related financing to acquire a working interest in certain assets for approximately $2.3 billion.; Represented an oil and gas exploration and production company in connection with financing its $1.24 billion acquisition of assets, consisting of an asset-based revolver and second lien notes.; Represented a regional restaurant chain in the sale of all of its assets and business to a private equity firm.; Represented a publicly traded hospitality company in negotiating its syndicated credit facility.; The above representations were handled by Mr. Zarbock prior to his joining Greenberg Traurig, LLP.
